Agreement

Global Tradein B.V. (“NorthLadder”)  has collaborated with MEDIA MARKT SATURN, S.A.U. to provide trade-in services to customers of MEDIA MARKT SATURN, S.A.U. (“MediaMarkt”)

The trade-in transaction is governed by these terms, made by and between the individual aged 18 or over who uses NorthLadder’s trade-in services (the “Customer” or “You”) and NorthLadder (the “Agreement”).

Customer acknowledges and accepts that MediaMarkt is not a party to this Agreement and shall therefore have no responsibility or liability under these terms.

Products which may be traded in under this program

A “Product” shall mean: any eligible electronic device purchased within the applicable jurisdiction, including Mobile Phone, Laptop, Tablet, Earphones, Smart Watch, and Gaming Console, that are accepted by NorthLadder for trade-in services within the applicable jurisdiction.

NorthLadder Services and Third-Party Services

You acknowledge and agree that MediaMarkt shall be neither liable nor responsible for any actions or inactions of NorthLadder in relation to the Offer or its benefits.

By agreeing to accept NorthLadder’s quoted price for purchasing the Product, whether initial or revised (the “Offer”), you hereby represent, warrant and covenant that:

a. You are the sole; absolute; and lawful owner of the Product.

b. The Product was exclusively for personal use, not for business or commercial use.

c. The Product, along with all accessories, under the Offer is genuine and is not counterfeit, and is free from any and all encumbrances, liens, attachments, disputes, legal flaws, exchange or any agreement of sale etc.

d. Wherever applicable, You have provided Product details, including its condition, and these are as stated at the time of availing the Offer.

e. In the event the Product is a mobile, laptop, tablet or smart watch, the Product is in working condition. You must remove any scratch-guard, screen-guard, tempered glass, or other protective covering applied to the screen of the Product.

f. You have deleted all personal data, signed out of your iCloud (iOS) / Google (Android) or similar accounts, and removed any lock code or passwords. You must also remove any SIM, memory, or eSIM cards before handing over the Product. Any remaining SIM or memory cards will not be returned and will be destroyed. NorthLadder is not liable for any data on unremoved cards.

g. The battery of the Product proposed to be exchanged must not be dead or non-functional. In other words, the device should turn on and operate even when the charger is disconnected.

h. The Product should not be damaged, broken, or otherwise tampered with.

i. The Product should match the details entered while placing the Order.

Device Evaluation and Pricing

NorthLadder agrees to purchase the Product for the value agreed upon during the initial Offer, pending inspection.

Quote Validity
The quoted Offer is valid maximum upto ten (10) days from the date of trade-in submission. The Customer must arrange shipment of the Product within this period. If the Product is not handed over to the courier within this validity window, the Offer shall expire automatically and the Customer will no longer be eligible for the quoted trade-in value. A new submission will be required.

Inspection and Grading
After the Product is received, NorthLadder will inspect and verify its condition. Device condition is assessed in accordance with NorthLadder’s grading criteria as published on the NorthLadder website at the time of the trade-in. The Customer acknowledges having reviewed these criteria prior to self-declaring the device condition. NorthLadder’s assessment of the device condition shall be final and binding and shall take precedence over the Customer’s self-declaration in all cases.

Condition Matches Declaration
If NorthLadder’s quoted price aligns with the Customer’s self-evaluation, the trade-in will proceed automatically, and the device will not be returned to You.

Revised Offer
If the condition differs from the Customer’s original description, NorthLadder may issue a revised Offer (the “Revised Offer”). Such Revised Offer shall be made no later than seven (7) days from the date you provided the Product for trade-in.

New Offer (Device Mismatch)
If the Product received by NorthLadder is different from the one declared by the Customer at the time of the Offer, NorthLadder may, at its sole discretion, either (a) decline to make any purchase offer for the Product received and return it to the Customer, or (b) issue a New Offer reflecting the value of the Product actually received (the “New Offer”).

Customer Response to Revised or New Offer
Once you have received a Revised Offer or New Offer, you have seven (7) days to either (1) accept the offer, or (2) reject it and request the return of the Product. Failure to respond within seven (7) days shall be deemed acceptance of the Revised Offer or New Offer, as applicable. NorthLadder will retain the Product and proceed to complete the trade-in. The order will no longer qualify for cancellation once completed.

Payment

Where a top-up bonus or promotional campaign is applied to the trade-in, the value of the Product will be provided to you in the form of a bank transfer by NorthLadder. Payment is made within three (3) business days of confirmation that the device meets purchase criteria, or within three (3) business of counteroffer acceptance. NorthLadder is not responsible for errors in the bank details provided by you.
Where no campaign is applied, the value of the Product will be paid by sending you a gift card via email within five (5) calendar days from the date the trade-in is confirmed. The gift card may be used as a means of payment in any MediaMarkt store or through the MediaMarkt online store. The gift card will not expire. In any case, it will be subject to the terms and conditions established by MediaMarkt, which you acknowledge and accept. NorthLadder will not assume any responsibility towards you in relation to the products, objects, or services that you may acquire using the gift card.

Shipping and Packaging

Where the trade-in involves shipment of the Product, the following conditions apply:

Shipping Label
NorthLadder will provide the Customer with a prepaid shipping label, enabling the Customer to ship the Product free of charge.

Packaging Standards
The Customer must package the device securely to ensure safe transport. This requires: (a) use of a rigid, sturdy box with intact flaps; (b) wrapping the device in bubble wrap or anti-static foam with a minimum of two (2) inches of cushioning on all sides; (c) filling all empty spaces with appropriate packing material to prevent movement during transit; (d) sealing all seams with strong packing tape (masking tape, cellophane tape, or string must not be used); and (e) placing a duplicate address label inside the package. NorthLadder shall not be liable for damage caused by inadequate packaging, and inadequate packaging may adversely affect the outcome of any lost or damaged shipment claim.

Accessories
Accessories (including chargers, cables, headphones, and original boxes) must not be included in the shipment and will not be returned if received.
As an exception, for all non-mobile and non-tablet categories (including but not limited to smartwatches, laptops, gaming consoles, and earphones), the Customer is required to include the original charger and charging cable as a mandatory requirement. This is necessary as each device category uses its own proprietary charging standard, and NorthLadder requires the appropriate charger to complete a full assessment of the device.
Where the Customer has confirmed during the trade-in submission that the charger and charging cable are included with the device, failure to include them in the shipment will be treated as a material misrepresentation of the device details. In such cases, NorthLadder reserves the right to issue a New Offer reflecting the revised assessment, or to return the device to the Customer at the Customer’s cost.
Devices in these categories received without the required charger, irrespective of the Customer’s declaration, will not be eligible for trade-in at the original quoted value and may be returned to the Customer at the Customer’s cost.

Proof of Handover
The Customer must obtain and retain proof of device handover to the courier (such as a pickup confirmation or drop-off receipt). This document is required to support any lost shipment claim. NorthLadder will not entertain lost device claims submitted without proof of handover.

Lost Device
In the event of a confirmed loss by the courier, NorthLadder will facilitate the claim process with the carrier on the Customer’s behalf. Courier claim processes may take between four (4) to six (6) weeks depending on the carrier’s timeline. Payout is conditional on a successful claim outcome from the carrier.

Loss during shipment may occur in two scenarios:
(a) Inbound Shipment (Customer to NorthLadder): Any payout will be based on the value declared by the Customer at the time of trade-in submission. NorthLadder accepts no liability beyond this declared value. The Customer must provide valid proof of handover to support any claim.
(b) Return Shipment (NorthLadder to Customer): Any payout will be based on NorthLadder’s assessed value as per the Revised Offer or New Offer issued, and not the Customer’s original self-declared value. NorthLadder will provide proof of dispatch to support the claim.

Transfer of Ownership

Ownership of the Product passes fully, unconditionally, and irrevocably to NorthLadder upon completion of inspection, where the device condition is confirmed to match the Customer’s self-declaration. No further acceptance is required from the Customer at this stage; the transfer is automatic.
Where a Revised Offer or New Offer is issued, ownership transfers upon the Customer’s acceptance of that offer, or upon the expiry of the seven (7) day response window, whichever is earlier.
By sending the Product to NorthLadder, the Customer waives all claims to ownership of, and any data contained within, the Product.

Data Security

a. You shall be responsible for removing all data stored on the Product, including personal data, and any stickers present on the Product before handing it over to NorthLadder.

b. NorthLadder shall not be held liable any data or information stored on the Product, that was not removed by you before handing over the Product, is  stolen, transferred or used by any other person or entity once  you have sold the Product to NorthLadder, or any registered dealers of NorthLadder.

c. In spite of erasing the data manually/electronically, if any data still accessible due to any reason, MediaMarkt or its affiliates, NorthLadder, the future buyer, or the manufacturer shall not be responsible for the same and you will not approach any of the above parties for any retrieval or deletion of the data.

If any data remains and is accessed by third parties, you agree that neither MediaMarkt, NorthLadder, nor any affiliated partners are liable for any data loss, misuse, or unauthorized access.

d. NorthLadder ensures secure data deletion on all received Products using appropriate technology and in compliance with applicable laws. Data deletion may occur immediately upon receipt of the Product, regardless of whether a quoted price is subsequently accepted or rejected. Data deletion follows recognised security standards and is properly documented and audited. NorthLadder will not perform any backup of the Product before proceeding with deletion or restoration and is not responsible for any loss of data, information, or content stored on the Product after it has been received.

Device Lock and Compliance

All Products must be unlocked, with no iCloud, Google FRP, or carrier locks.
Locked devices will not be accepted and may be returned or recycled at our discretion

Personal Information and Privacy

You consent to provide your personal information, including photographic ID (if required), to complete the trade-in process.
NorthLadder will process your personal data in accordance with the General Data Protection Regulation (GDPR). Full details are available in the NorthLadder Privacy Policy.

Applicable Law and Jurisdiction

This Agreement is governed by the Dutch law. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of The Netherlands.
NorthLadder will not trade with or provide any services to OFAC and sanctioned countries.
The Customer must retain a copy of the transaction records.
The Customer is responsible for maintaining the confidentiality of their account with NorthLadder.

Eligibility

Only individuals aged 18 years and above may participate in this program. Minors are not permitted to register or use NorthLadder’s services directly.

Cancellation and Refund Policy

Pre-Inspection – Courier Handover
Once the Customer hands over the Product to the courier, the Customer has confirmed their intent to trade in the Product at the self-declared price and condition. No cancellation is permitted from this point onwards.

Post-Inspection – Condition Matches Declaration
If the device condition is confirmed to match the Customer’s self-declaration, the trade-in proceeds at the agreed price and the sale is final. No cancellation or refund is possible.

Post-Inspection – Condition Differs from Declaration
If the device condition differs from the Customer’s self-declaration and a Revised Offer is issued; the Customer may either accept the Revised Offer or reject it and request the return of the Product. This is the only stage at which a cancellation right exists. Return of the Product in this scenario is subject to the applicable return fee. Once the Customer accepts the Revised Offer or fails to respond within seven (7) days, the sale is final and no further cancellation is permitted.

Liability

NorthLadder, its shareholders, agents, and employees are not liable for any damages arising out of or in connection with this Agreement unless caused by NorthLadder’s own intentional misconduct or gross negligence. Liability for injury to life, body, or health remains unaffected by this limitation. In the event of a breach of a material contractual obligation, NorthLadder’s liability shall be limited to foreseeable, contract-typical damages. The Customer does not provide any warranty or assume any liability for material defects in the Product after it is purchased by NorthLadder, except in cases of fraudulent concealment, intentional misconduct, or gross negligence.

Severability

If any clause of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and applicable statutory provisions shall apply. Where no such statutory provision exists, a replacement clause that best reflects the original economic intent of the parties shall be deemed agreed.
